Board Meeting Minutes - September, 2022

September 16, 2022

Attendees: Kevin Comer (KC), Kermit Ferrer (KF), Patsy Marino (PM), Joe Vassallo (JV), Gustav Swanson (GS), and by Zoom: Steve Orr (SO)

  • Social:  

    • September 15th VLP Social w/ North Area Commander, Lt. Browning @ V Wine w/ Recap – KC to send message of thanks to Lt Browning
      PM: we should invite PSPD to all of our events
      GS: to send email to VLPNO membership recapping mtg w/thank you to v wine lounge

    • Tentatively schedule November gathering @ Sol y Sombra (The Paloma Hotel)

      • 2022 Sunday Supper:  Sunday, November 20 4-6pm
        October 13 board mtg – @Sol y Sombra 4:00-5:30pm. KF will schedule.
        November 10 board mtg – 4:00-5:30pm. KF will schedule        .

    • Tentatively schedule Virtual AGMM – Sat Dec 3 10AM-11:30AM

      • Reminder:  Invite and Agenda must go out minimum 15 days prior to meeting.  Last year we sent it 30 days prior

      • Minutes of the AGMM must be published no later than 30 days after the meeting.  Last year they were published on Dec. 6th, two days after AGMM

      • 2021 AGMM:  Saturday, December 4th.  Historically AGMM's are held the Sunday before Thanksgiving.  

    • Tentatively schedule Pet Parade (talk to Scott) 

      • 2021 Pet Parade:  Saturday, December 18th
        PM will take the lead. PM will contact Scott. Will discuss vlpno grant of 5k. JV suggests we position grant as a challenge grant to the neighborhood.

  • Board member recruitment for AGMM 2022  - All
    PM recommends JV send 2 weeks from now – reminder about board recruitment activities

    • 2 year Board position:  December 2022-December 2024
      7 seats: 4 open on even years, 3 on odd years
      PM will renew 2 more yrs and will work to recruit Chrissy (of Chrissy & Thelton)
      SO cannot renew due to expanding work commitments
      GS will continue as needed
      We will each try to bring in one board recruit. JV to screen Vince T. & invite to Oct mtg.

    • There are six open positions:  

      • 1 that wasn't filled in 2021 (Joe V joined Feb 2022 after AGMM & Gustav joined as a stand-in Board Member)

      • 4 that are coming up:  Patsy, Steve, Kermit & Brenda (John Vella replacement)
        Kermit will renew if board seats are filled. Will agree to 1 year transition at a minimum.
        Membership drive: PM, KC, Caitlin working on a membership mailer card. Send it in Oct. We start collecting $ for next year on Dec 1. Memberships will be Dec 1 2022 – Nov 30 2023.

  • August Treasury Report – Kevin
    $51,177 start of August. A few new member donations came in.

  • VLPNO Classification: 

    • New registration of  Fictitious business:  VLPNO (?) schedule

    • Make it a 501(c)(3) 

    • What are the steps to create new and cancel old?  ie.  Fictitious Name (Organization) registration
      KC & JV to outline steps to add 501c3 & pro/con of keeping 501c4
      JV to re-invite all to see board minutes – JV to add KF’s suggested changes

  • Fundraising/Donations -All

    • Still need to establish a Board member owner who will administer this program

    • Desert AIDS Memorial - Do we have an update. KC to draft email to KF to send to Ellen/Alan & DAP ED – how can we help.

    • Complete donations to PS Animal Shelter = $10k (initial $5k to be divested for possible future donation to them);  LGBT Center = $5k

    • Other opportunities/organizations?

  • Other projects:  

    • Kick-off 2023 Major Fundraiser to replace MW Home Tour ideas

    • Volunteer Day:  Animal Shelter (Lead) PM to ask Scott/David to participate.

    • Volunteer Day:  The Center Food Bank (Lead). KF asked DonZ to take lead.
      Oral Histories – KC
      Major fundraiser – KC: how do we make $50k in 2023?
      KC – maybe we need a VLP Foundation

  • One PS Highlights – Gustav: we have an interim fire chief. VLP is D3. OLP Neighbor Ron Dehart is running for Council

  • Communication - Website Updates & Newsletter - Gustav
