Board Meeting Minutes - October, 2022

Vista Las Palmas Neighborhood Organization Board Meeting
Thursday, October 13th

Time:  4:00-5:00pm

Attendees (by Zoom): Kevin Comer (KC), Kermit Ferrer (KF), Patsy Marino (PM), Joe Vassallo (JV), Gustav Swanson (GS)

Unable to attend: Steve Orr (SO)

Agenda

  1. Review/Approve September Board Meeting Minutes (attached).

  2. Social:  

  • Tentatively schedule November gathering @ Sol y Sombra (The Paloma Hotel)

    • 2021 Sunday Supper:  Sunday, November 21st

    • Proposal 

    • Commitment

    • PM confirmed date with Sol Y Sombra and is working on the menu

    • PM will work with Caitlin on the Save The Date

  • Tentatively schedule Virtual AGMM – KF reviewed draft agenda

    • Reminder:  Invite and Agenda must go out minimum 15 days prior to meeting.  Last year we sent it 30 days prior

    • Minutes of the AGMM must be published no later than 30 days after the meeting.  Last year they were published on Dec. 6th, two days after AGMM

    • 2021 AGMM:  Sunday, December 4th (previously proposed for Saturday, December 3rd).  Historically AGMM's are held the Sunday before Thanksgiving.

    • Need to announce at social and send invite by Nov 4th.

    • KC invited Geoff Kors and agreed to invite Teresaa, Interim City Mgr

    • KF invited Chief mills – he is out of town, asked if he will do remote. Will ask Lt Brown if Chief is unable to attend virtually.

  • Tentatively schedule Pet Parade (Patsy spoke to Scott)

    • 2021 Pet Parade:  Saturday, December 18th

    • Scott has it well handled.

      Board member recruitment for AGMM 2022  - All

  • 10/22 mtg: KF invited Bruce (& will ask DonZ), PM will invite Cristy, JV will invite Vince T

  • KF will ask SO to host, JV to ask Jim Maloney 

  • Each BOD member to recruit 1 potential candidate

  • 2 year Board position:  December 2022-December 2024

  • There are six open positions:  

  • 2 weren't filled in 2021 (Joe V joined after AGMM & Gustav as a stand-in Board Member)

  • 4 that are coming up:  Patsy, Steve, Kermit & Brenda (John Vella replacement)

September Treasury Report – Kevin. Update will be presented at the 10/22 meeting

D&O Insurance Renewal – Kermit. Renewal is coming up soon

Membership Drive - Patsy/Kevin. Kevin: Caitlin is almost done drafting postcard

  • Will use same vendor that’s popular with Realtors. Approx $700 including mailing costs. Considering adding new higher level ($500 The Swiss Miss). Considering adding new base level for Outside VLP Friends (non-voting)

  • PM/KC working on email to go out before the Social invite.

  • KF completed Database update. Needs help to do a cleanup. JV offered to help KF with database cleanse.

  • Mailchimp reports back the email addresses that bounce back, receipients who OPT-OUT, and those who didn’t open.

  • KC will give KF access to mailchimp reports for database updating

VLPNO Classification: 

Are we truly ready to take this on?  Is this feasible and sustainable?

Talk to other PS Non-profit organizations and find out who they use for Legal & Accounting

New registration of  Fictitious business:  VLPNO (?) schedule

Make it a 501(c)(3) 

What are the steps to create new and cancel old?  ie.  Fictitious Name (Organization) registration

KC: All referrals point to Eve Fromberg for legal advice

We have several referrals for accounting help. We previously used Barton instead of GKQ? Best current lead is Reemis (PS Museum referral)?

GS to ask OnePS for acctg referral
KC: Tentative plan is to keep 501c4 & create a new 501c3 for tax-deductible memberships and charitable work. JV questions the need to keep c4 if we don’t plan political activity.

KF: Motions to approve Eve Fromberg’s $2800 proposal to legally guide us through the process of creating a 501C3. PM seconds. All 5 board members approve.

KF: Will ask tom Gleeson (state farm) about Fictitious Business Name filings. 

KC: Vista Las Palmas Foundation – Eve liked this name b/c it’s shorter and it’s different than existing name.

KF: We need a clear script for AGMM about 501c3/c4 plans. KF asked KC to develop that script.

Fundraising/Donations -All

Still need to establish a Board member owner who will administer this program

Desert AIDS Memorial - Do we have an update?

Complete donations to PS Animal Shelter = $10k (initial $5k to be divested);  LGBT Center = $5k

Kick-off 2023 Major Fundraiser to replace MW Home Tour ideas

Volunteer Day:  Animal Shelter (Lead:  Patsy) 

PM: Scott and PS Animal Shelter are actively planning the event for Sat Dec 17

Volunteer Day:  The Center Food Bank (Lead) KF will work with Don Z.
